We are 3B International LLC, a company registered in New Jersey, United States, located at 100 Bomont Pl, Totowa, NJ 07512 ("Company," "we," "us," "our"). We own and operate the trademarked brand My Scent Portfolio ("Brand"), which operates the website www.myscentportfolio.com (the "Site"), as well as any related products, services, features, content, and tools (collectively, the "Services").

My Scent Portfolio is powered by Shopify, which enables us to provide the Services.

These Terms and Conditions ("Legal Terms") form a legally binding agreement between you ("you," "user") and 3B International LLC regarding your use of the Services.

1. OUR SERVICES

The Services are not intended for use in jurisdictions where such use would violate applicable laws or regulations. Users are solely responsible for compliance with all local laws applicable to their use of the Services.

2. INTELLECTUAL PROPERTY RIGHTS

All content, branding, logos, designs, images, text, and software within the Services are owned by or licensed to 3B International LLC / My Scent Portfolio and are protected by applicable intellectual property laws, including copyright, trademark, and trade dress laws.

You are granted a limited, non-exclusive, non-transferable license for personal, non-commercial use of the Services only. This license does not include any right to resell, sublicense, or commercially exploit the Services or any content contained therein.

Unauthorized reproduction, resale, or distribution of any content from the Services is strictly prohibited and may result in legal action.

 

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (a) all registration and purchase information you provide is accurate, current, and complete; (b) you will maintain the accuracy of such information; (c) you have the legal capacity to enter into these Terms; and (d) you will not use automated systems, bots, scripts, or other unauthorized means to access or interact with the Services.

 

4. USER REGISTRATION

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

 

5. PRODUCTS

We strive to display our products - including fragrances, body mists, gift sets, and candles - as accurately as possible. However, we cannot guarantee that product colors or visual details will be exact due to differences in device displays and screen calibrations.

Product descriptions, including scent notes and ingredient information, are provided in good faith based on manufacturer data. Scent character may vary slightly between production batches.

Allergies & Sensitivities: Our products contain fragrance compounds and other ingredients that may cause reactions in individuals with allergies or sensitivities. It is your responsibility to review all product ingredient information before purchase. We strongly recommend performing a patch test before extended use. We are not liable for any allergic reactions, skin sensitivities, or adverse responses resulting from use of our products.

All products are subject to availability. We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice.

Fragrance Performance Disclaimer:
Scent performance, longevity, and projection may vary depending on individual skin chemistry, environment, and application method. We do not guarantee identical performance for all users.

 

6. PURCHASES AND PAYMENT

We accept the following payment methods: Visa, Mastercard, American Express, Discover, and PayPal.

You agree to provide accurate, current, and complete billing and payment information. All prices are listed in U.S. Dollars (USD). The price charged for a product will be the price displayed at the time of order confirmation. We reserve the right to change prices at any time without prior notice; however, price changes will not affect orders that have already been confirmed.

Promotional and sale prices are time-limited, apply only while stated, and may be modified or withdrawn at any time. Discount codes must be applied at checkout and cannot be applied retroactively.

We reserve the right to refuse or cancel any order at our sole discretion, including cases of suspected fraud, pricing errors, or inventory issues. If an order is canceled after payment, a full refund will be issued.

By completing a purchase, you agree not to initiate unjustified chargebacks or payment disputes without first contacting us to resolve the issue. We reserve the right to dispute any chargeback and provide evidence to payment processors. Fraudulent or abusive chargebacks may result in order cancellation and restriction of future purchases.

All prices are exclusive of applicable taxes, duties, and import fees. Customers are responsible for any customs duties, VAT, or additional charges imposed by their local authorities.

We are not responsible for delays caused by carriers, customs, weather conditions, or other events outside our control. All delivery times are estimates only and are not guaranteed.

Risk of loss and title for all products pass to you upon delivery of the shipment to the carrier.

 

8. PROHIBITED ACTIVITIES

You may not use the Services for any unlawful purpose or in any manner inconsistent with these Terms. Prohibited activities include, but are not limited to:

•       Scraping, harvesting, or extracting data from the Services without authorization

•       Submitting spam or unsolicited commercial messages

•       Uploading or transmitting viruses, malware, or other malicious code

9. USER GENERATED CONTENT & CONTRIBUTION LICENSE

If you submit, post, or transmit any content through the Services - including reviews, photos, comments, or other materials (collectively, "User Content") - you retain ownership of that content.

By submitting User Content, you grant 3B International LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Services, including on social media and in marketing materials.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) the User Content complies with these Terms and all applicable laws.

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion.

 

10. GUIDELINES FOR REVIEWS

We welcome honest customer reviews. When submitting a review, you agree that it will be:

•       Based on your genuine, firsthand experience with the product

•       Accurate and not misleading

•       Free of offensive, defamatory, or unlawful content

•       Not submitted in exchange for compensation (unless clearly disclosed)

 

We reserve the right to remove reviews that violate these guidelines or that we determine, in our sole discretion, to be inappropriate.

 

11. SOCIAL MEDIA

You may choose to connect third-party social media accounts in connection with the Services. We are not responsible for the practices, content, or availability of third-party platforms. Your interactions with those platforms are governed by their respective terms and privacy policies.

We reserve the right to suspend or terminate accounts, cancel orders, or restrict access to the Services if we suspect fraud, abuse, chargeback activity, or violations of these Terms.

15. COOKIES, TRACKING & ADVERTISING

17. TERM AND TERMINATION

These Terms remain in effect for as long as you use the Services. Upon termination, all licenses granted to you under these Terms will immediately cease.

 

18. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time without notice or liability. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

 

19. GOVERNING LAW

These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles.

 

20. DISPUTE RESOLUTION

Informal Resolution: Before initiating any formal dispute, you agree to first contact us at info@myscentportfolio.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receipt of your notice.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org.

Arbitration shall be conducted on an individual basis. You and 3B International LLC each waive the right to participate in a class action, class arbitration, or representative proceeding. The arbitration shall take place in Bergen County, New Jersey, or, at your election, may be conducted remotely.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

You and 3B International LLC waive any right to a trial by jury in any legal proceeding arising out of or related to these Terms or the Services.

 

21. CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions in pricing, product descriptions, or availability at any time, including after an order has been placed or confirmed. In such cases, we may cancel or adjust the order and notify you accordingly.

 

22. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

23. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 3B INTERNATIONAL LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL - ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability exceed the total amount paid by you for the product(s) giving rise to the claim.

 

24. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless 3B International LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

You are responsible for all data you transmit through the Services. We are not liable for any loss, corruption, or unauthorized access to your data. We encourage you to maintain independent backups of any data you consider important.

 

26. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receiving electronic communications from us. These communications may include:

You agree that all electronic communications we provide satisfy any legal requirement that such communications be in writing. You may opt out of marketing emails at any time; transactional and account-related emails cannot be opted out of while you maintain an active account.

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

30. FORCE MAJEURE CLAUSE

We are not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, labor disputes, supply chain disruptions, governmental actions, or failures of third-party services such as Shopify or shipping carriers.
